Terms of Service
These Terms of Service (“Terms”) form a legal contract between you and FrameLogic Limited (“we”, “us”, “our”), the operator of Autera. By creating an Autera account, signing in, or otherwise using the service, you agree to these Terms. If you do not agree, do not use Autera.
These are the rules for using Autera. They cover how subscriptions work, what you can and cannot do with the service, who owns what, how long we keep your data, and what happens if something goes wrong.
1. Acceptance
By creating an account, signing into Autera, or accepting an invitation to a workshop, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Acceptable Use Policy. If you accept these Terms on behalf of a business, you confirm you have authority to bind that business.
2. Description of service
Autera is a cloud-based platform for managing the operations of a motor vehicle workshop, including job tracking, customer and vehicle records, quotes, invoices, technician scheduling, document storage, and related features. Available features depend on your subscription plan.
3. Account registration
You need a verified email address. Each workshop signs up once. Keep your login secure.
- You must provide accurate, complete information when creating your account and keep it up to date.
- You must verify your email address before accessing the workshop portal.
- One Autera workshop account per legal business entity. You may not create multiple accounts to circumvent plan limits or trial periods.
- You are responsible for all activity under your account and for keeping login credentials secure.
- You must be at least 18 years old.
4. Subscription and payment
Paid plans renew automatically. Free 14-day trial on your first paid plan, plus a 30-day money-back guarantee on the first charge. Full details in our Refund Policy. After payment fails, you have 7 days before the account becomes read-only.
- Paid subscriptions are billed in advance, monthly or annually, via Stripe.
- Subscriptions auto-renew until cancelled. You may cancel any time from billing settings; access continues until the end of the current paid period.
- The first paid plan you take includes a 14-day free trial. Refunds and cancellations are governed by our Refund Policy, which forms part of these Terms.
- If a payment fails, your workshop is placed in “past due” status with a 7-day grace period. After 7 days the account becomes read-only until payment is recovered.
- You are responsible for any taxes, bank fees, or currency conversion costs associated with your payments.
5. Permitted use
Autera is licensed for use solely in connection with operating a motor vehicle workshop business. See our Acceptable Use Policy for full details. You must not:
- Resell, sublicense, lease, or otherwise commercially exploit access to Autera
- Reverse engineer, decompile, or attempt to derive the source code of any part of the service
- Scrape, crawl, or use automated means to bulk-extract data, except via the data export tool we provide
- Use Autera to develop or train a competing service
- Bypass any security or access control mechanisms
6. Customer responsibility for data
You own the data you put in. You are responsible for it being accurate, lawful, and properly licensed. Take your own backups using our export tool.
- You are the controller of personal data you enter about your customers, technicians, and vehicles. You are responsible for having a lawful basis to process that data.
- You must not upload illegal, infringing, harmful, or fraudulent content.
- While we run automated backups (see section 8), you remain responsible for taking your own copies of important records using the data export feature in settings.
- You warrant that you have all necessary rights and consents for any third-party data you upload.
7. Intellectual property
- We own all rights in Autera, including its software, design, branding, and documentation.
- You retain ownership of all data and content you enter into Autera (“Customer Data”). You grant us a limited, non-exclusive, royalty-free licence to host, copy, transmit, and display Customer Data only as required to provide the service to you.
- We may use anonymised, aggregated data (data that cannot identify you, your business, or any individual) to improve the service and produce industry insights.
- Feedback and suggestions you provide may be used by us without restriction.
8. Data retention and deletion
Deleted items go to Trash for 30 days, then to cold storage for another 30 days, then are permanently destroyed. After cancellation you have 60 days of read-only access to export your data. We keep encrypted backups for up to 12 months.
Specific timelines:
- Trash: Items you delete are recoverable for 30 days from your Trash page.
- Cold storage after Trash: Once the 30-day Trash window expires, files are moved to cold storage for a further 30 days. During this window, our support team can restore data on request (a £50 administrative fee applies, waived if the loss was caused by an Autera fault).
- Cancellation grace period: When you cancel, your workshop is set to read-only mode for 60 days. You can export your data, reactivate the subscription, or simply let it expire.
- Cold storage after cancellation: After the 60-day grace period, primary data is hard-deleted but a copy remains in cold storage for 30 days for support recovery.
- Storage over-quota: If you exceed your plan’s storage quota, we will warn you for 14 days, then auto-archive the largest files. Archived files can be restored by upgrading your plan or contacting support.
- Database backups: Encrypted daily backups are retained for 30 days, weekly backups for 12 months, and monthly backups for 12 months.
- Object storage snapshots: Weekly snapshots are retained for 4 weeks; monthly snapshots for 12 months.
- Audit logs: Workshop activity logs and internal staff audit logs are retained for 3 years.
- Restoration fees: Restoring data from cold storage is charged at a flat £50 administrative fee, waived if the data loss was caused by us.
9. Confidentiality and internal access
Authorised Autera staff may view your data to provide support, fix issues, or comply with the law. Every access is logged. They cannot change your data without your explicit request.
To deliver support and operate the service, authorised Autera staff may access workshop data. Such access is strictly limited to: providing customer support; troubleshooting technical issues; investigating suspected breaches of these Terms; and complying with legal obligations. All staff access is logged in an internal audit log including the staff member’s identity, time of access, and reason. Staff cannot modify Customer Data without your explicit instruction.
10. Service availability
We aim for 99.5% uptime measured monthly, excluding scheduled maintenance and force majeure events. See our Service Level Agreement. Uptime is a target, not a guarantee. We do not provide service credits or refunds for periods of downtime in version 1 of this agreement. Scheduled maintenance windows are typically 02:00–05:00 UK time.
11. Disclaimer of warranties
To the fullest extent permitted by law, Autera is provided “as is” and “as available”. We make no warranties, express or implied, including but not limited to: merchantability; fitness for a particular purpose; that the service will be uninterrupted, error-free, or free of harmful components; that any data displayed (including DVLA, MOT, or VES information) is accurate or current; or that defects will be corrected.
12. Limitation of liability
If something goes catastrophically wrong, the most we owe you is the greater of £100 or what you paid us in the past 12 months. We are not liable for lost profits or business interruption.
- To the fullest extent permitted by law, our total aggregate liability to you for all claims arising under or in connection with these Terms or your use of Autera is limited to the greater of (a) £100, or (b) the total fees you paid us in the 12 months immediately preceding the event giving rise to the claim.
- We are not liable for: loss of profits, revenue, business, opportunity, goodwill, anticipated savings, or data; or any indirect, incidental, special, consequential, or punitive damages, regardless of how arising.
- The cap in this section applies to all claims in aggregate, not per claim.
- Nothing in these Terms limits liability that cannot be excluded by law, including liability for death or personal injury caused by negligence or for fraud or fraudulent misrepresentation.
13. Indemnification
You agree to indemnify and hold harmless FrameLogic Limited, its directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: your use of Autera; your breach of these Terms; your violation of any law or third-party right; any Customer Data you upload; and any claim brought by your customers, employees, or other third parties relating to your use of Autera or your business operations.
14. Termination
- You may terminate your account at any time from billing settings or by contacting support.
- We may suspend or terminate your account immediately if you breach these Terms, fail to pay fees when due, engage in fraudulent activity, or if we are required to do so by law or court order.
- On termination, the data retention timelines in section 8 apply.
- Sections 6, 7, 8, 11, 12, 13, 16, and 17 survive termination.
15. Changes to these Terms
We may update these Terms from time to time. For material changes, we will give you at least 30 days’ notice by email and by posting an in-app banner. Continued use of Autera after the notice period constitutes acceptance of the updated Terms. The “Last updated” date at the top of this page reflects the latest version. Older versions are available on request.
16. Governing law and jurisdiction
These Terms and any non-contractual obligations arising from them are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction to resolve any dispute arising under these Terms.
17. Entire agreement
These Terms, together with our Privacy Policy, Acceptable Use Policy, SLA, Refund Policy, and (where applicable) Data Processing Agreement, constitute the entire agreement between you and us regarding Autera. They supersede any prior agreements or understandings. If any provision is held unenforceable, the remaining provisions remain in effect.
